Randy Dalton has been practicing law for the past twenty-nine years, primarily in the transactional practice group. For the past nineteen years, Randy’s practice has been devoted exclusively to the representation of commercial lenders in the real estate, corporate finance and healthcare finance areas, including the documentation and closing of complex working capital lines of credit, timeshare receivables, resort development and real estate acquisition, construction and refinance transactions, throughout the United States, Canada, Mexico and the Caribbean. Randy has also represented lenders in work outs and pre bankruptcy planning.

Randy has held an AV rating with Martindale-Hubbell since 1992.

Notable transactions handled by Randy include:

• $75,000,000 leveraged buyout of a real estate development company located in Florida (financed with notes receivables and real estate).
• $120,000,000 working capital, acquisition and development facility for a resort development in Las Vegas, Nevada.
• $25,000,000 receivables hypothecation facility for a timeshare project in San Diego, California.
• $85,000,000 construction facility for a real estate developer with collateral in Mississippi, Arizona, Missouri and Tennessee.
• $30,000,000 construction, receivables hypothecation and presale facility for a resort development in Phoenix, Arizona.
• $22,500,000 construction and working capital facility for a developer in Ontario, Canada.
• $50,000,000 construction facility for a condominium project in Los Cabos, Mexico.
• $30,000,000 working capital facility for a developer in Barbados.
• $35,000,000 receivables hypothecation facility for a timeshare project in Virginia Beach, Virginia.

Randy has served as lead counsel in all aspects of these transactions, from structure consultation and the performance of pre-closing due diligence to the drafting and negotiation of loan documentation, review of timeshare consumer documents, verification of regulatory compliance, closing of the transactions and supervision of local counsel. With respect to international transactions, his role was expanded to include issues concerning United States and foreign withholding taxes, banking permits, foreign currency exchange controls, foreign government permits and other foreign regulatory compliance. Some transactions have closed with subordinate levels of financing, in conjunction with the senior lender, from either the seller or an institution.

Total fundings and commitments on transactions handled by Randy have exceeded, in the aggregate, over $2,000,000,000.
